SEO++ Terms and Conditions
- Search Engine Optimization (SEO++) Agreement
- This agreement is hereby entered into between SpikeyByte (hereinafter referred to as “Company” and _____________________ (hereinafter referred to as “Client”) on the ___ day of _______, 20___.
- 1. ”Company” agrees to provide “Client” with Search Engine Optimization and Reporting Services (hereinafter referred to as “SEO++”) as described in this agreement. “Company” is authorized to use the specific keywords and/or phases set forth below for development, improving the ranking of, and/or positioning the contents of the “Client” URL(s), http://www.______________________. in the search engines and/or directories that are most frequently used by the general public which are defined in section 5 below.
- 2. “Client” agrees to pay “Company” a fee as stated in section 3. Fee must be received prior to the start of any services provided. “SEO++” Services are intended to provide the client with preferential positioning in selected search engines and report results on an ongoing and timely basis. “SEO++” Services include:
2.1 Research keywords and phrases to select appropriate, relevant search terms. Keywords are listed in section 14. Additional keyword purchases will require a separate contract.
2.2 Edit various html tags and page text as necessary prior to submission to selected search engines and directories.
2.3 Create as required, additional web pages for the purpose of “catching” keyword/phrase searches. New pages incur additional costs.
2.4 Hand-submit your pages to the engines and directories stated in section 5.
2.5 Create positioning reports for main site and any associated pages showing rankings in the major search engines and under which keywords. - 3. Fee to be paid by “Client” to “Company” is £ . This fee is for the minimum contract length stated in this document of 6 months. This however does not change or replace section 12 in any form.
- 4. For the purposes of providing these services, “Client” agrees to provide:
4.1 Give “Company” FTP access (if not hosted with SpikeyByte) to the main site for uploading new pages, and making changes for the purpose of optimization OR approval to go through 3rd Party.
4.2 “Client” authorizes “Company” use of all “Client” logos, trademarks, Web site images, etc., for use in creating informational pages and any other uses as deemed necessary by “Company” for search engine positioning and optimization.
4.3 If “Client” site requires extra content, “Client” will provide additional relevant content in electronic format for the purpose of creating additional web pages. “Client” agrees to provide content, for example 200 to 500-word “articles” about each of their keyword phrases. A time frame will be agreed by “Company” and “Client” to suite both requirements. “Company” cannot be held liable for any delay in “SEO++” benefits to the “Client”. If “Client” neglects to provide “Company” with required content within 30 days from agreement, “Company” reserve the right to cancel this agreement without notice and no refund will be payable to “Client”.
- 5. Selected Search Engines* include:

* Top Major SE and SE names may change without prior notice (SE means Search Engine)
- 6. “Client” acknowledges the following with respect to services:
6.1 “Company” has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. “Client” site may be excluded from any directory at any time at the sole discretion of the search engine or directory. “Company” will resubmit those pages that have been dropped from the index.
6.2 Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms and other competitive factors, “Company” does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase or search term. However, if “Company” fails to achieve 3 top 30 positions in the major search engines, “Company” will start over “SEO++” services with no cost to “Client”.
6.3 Some search engines and directories may take as long as 2 to 4 months, and in some cases longer, after submission to list your site.
6.4 Occasionally, search engines will stop accepting submissions for an indefinite period of time.
6.5 Occasionally, search engines will drop listings for no apparent or predictable reason. Often listing will “reappear” without any additional submissions. Should the listing not reappear, “Company” will re-submit the site based on the current policies of the search engine in question.
6.6 Some search directories offer listing services for a fee. Client is responsible for service fees, example Yahoo, unless otherwise noted. “Company” will not endorse none standard techniques and if “Company” find true that “Client” has embarked upon such activity then “company” reserve the right without notice to cancel this agreement and no refund will be issued to “Client”.
- 7. The “Company” is not responsible for changes made to the Web site by other parties that adversely affect the search engine rankings of the “Client” Web site.
- 8. Additional Services not listed herein will be provided for a fee of £25 per hour. For example, purchasing keywords beyond the scope provided in this “SEO++” agreement.
- 9. “Client” guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to “Company” for inclusion on the website above are owned by “Client”, or that “Client” has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend “Company” and its subcontractors from any liability or suit arising from the use of such elements. “Company” at any time within the duration of this agreement or thereafter can request written proof/consent from “Client” if this is deemed necessary. “Client” agrees that no charge will be brought upon “Company” for any request of information in order to carry out the services within this agreement.
- 10. “Company” is not responsible for “Client” overwriting SEO work to “Client” site. I.E. “Client” webmaster making changes and uploading over work already provided. “Client” will be charged an additional fee for re-constructing Meta data, etc based on the hourly rate of £35/hour.
- 11. Keywords to be used by “Company” on behalf of “client” are recorded in section 14 of this document of Terms and Conditions of Service.
- 12. Duration of this agreement is 12 months from the date of signatory. The “Client” will have an option to “opt out” after a period of 6 months with 30 days written notice provided to “Company”. The “Client” shall have no liabilities to “Company” for using “Opt Out” option. All additional fees incurred will have to be settled before “Opt Out” can be satisfied. When using the “Opt Out” option work carried out on behalf of “Client” by “Company” will be left to depreciate by natural causes.
- 13. “Client” agrees that payment will be due 6 months in advance (before “SEO++” services commence) and will be chargeable on a 6 month period basis, unless otherwise stated in this agreement. “Client” agrees to make payments 10 days in advance before the continuation of the 12 month agreement after the initial 6 month period has passed.
- 14. Keyword selection is stated below and agreed upon at time of signatory and any other additional keywords will be charged at the appropriate rate. (KW means Keyword)

- 15. You agree as the “Client” of “Company” that you will not employ the services of another Search Engine Optimization company for the duration of this contract. “Company” will not accept any loss of positioning or other form of benefit due to 3rd party involvement. If “Client” does employ additional services then “Company” reserve the right to cancel this contract with no refund given to “Client” and that action will cancel any further references to this contract and this contract will be deemed canceled by “Client”.
- 16. “Client” reserves the right to cancel this contract before work has commenced by “Company” within a 24 hour duration period. Work will not commence until payment has cleared in “Company” bank account.
- 17. This document is legally binding and any proceedings taken against “Company” or against “Client” shall be agreed under Laws governed within the United Kingdom.
- 18. “Client” agrees that “Company” may require a link back service from “Client” website pages referring to this service being provided by “Company” i.e. Search Engine Optimization by SpikeyByte.com
- 19. “Company” reserves the right to cancel viewing of any such websites using “SEO++” services until full payment of balance due has been satisfied in full. This includes and is not limited to “Client” website, content, online marketing material and search engine rankings. (This list has not been exhausted in any form)
- 20. “Company” reserves the right to change/amend these terms at any time providing “Client” with 10 days notice before the changes take effect. By signing this agreement you the “Client” or representative of the “Client” agree to abide by all the terms and conditions stated here within:
